Where a signed contract, quotation, or purchase order exists, it governs the relevant service. These terms apply to matters not specifically addressed in that document.
Definitions and scope
“Aptiun” means Afaq Digital Solutions for Information Technology. “User” or “Client” means any person or entity that visits the website or requests a service.
These terms cover aptiun.com, its forms, content, and digital materials, as well as services contracted with Aptiun unless a specific agreement states otherwise.
Acceptance and authority
- Using the website or submitting a service request constitutes acceptance of these terms to the extent relevant to that use or request.
- If you act for an organization, you confirm that you have authority to represent and bind it.
- Information provided to Aptiun must be accurate and current, and material changes affecting delivery must be communicated promptly.
Services, proposals, and contracting
The approved proposal, contract, or purchase order defines each project’s scope, deliverables, schedule, fees, acceptance process, and support.
- General website content is not a binding offer unless incorporated into a specific agreement.
- Work outside the agreed scope is subject to a separate assessment of time and cost before it begins.
- Delivery periods begin after required information, access, approvals, and payments have been received, as stated in the agreement.
Client responsibilities
- Provide requirements, content, data, access, and approvals on the agreed schedule.
- Ensure that materials and data supplied to Aptiun are lawful and that the Client has the right to use them.
- Protect credentials and permissions delivered to the Client and promptly report suspected unauthorized use.
- Use the services in accordance with applicable law, this Fair Use Policy, and service-specific requirements.
Fees, payment, and cancellation
Fees, payment milestones, taxes, cancellation, and refund terms are stated in the approved proposal or contract. Unless otherwise stated, delivery does not begin before the required payment is received, and costs for completed work or committed resources are non-refundable.
- Aptiun may pause work or access to deliverables when an amount is overdue, after notice and a reasonable cure period where practicable.
- Time spent awaiting Client approvals or requirements is excluded from the delivery schedule.
- Cancellation or change requests are assessed against work completed and commitments incurred up to the request date.
Acceptable use and prohibited content
- Do not use the website or services for unlawful or fraudulent activity or to infringe intellectual property, privacy, or other rights.
- Do not introduce malware, attack systems, exceed authorization, disrupt services, or exhaust shared resources.
- Do not scrape the website at scale, resell its content, or misrepresent your identity or affiliation.
- Hosting and technical resources are also governed by the Fair Use Policy published on this website.
Intellectual property
Aptiun’s name, marks, website identity, original content, tools, methods, and pre-existing materials remain the property of Aptiun or their licensed owners.
The project agreement defines the Client’s rights in delivered work. No rights beyond those expressly stated transfer until all relevant fees are paid.
Third-party services and links
Some solutions depend on third-party platforms, licenses, or cloud services. Their terms apply to their use. Aptiun is not responsible for changes or outages outside its control, but will exercise reasonable professional care in selection, integration, and remediation.
Availability, warranty, and liability
Aptiun aims to deliver the website and services to an appropriate professional standard. The public website is nevertheless provided “as is” and may be affected by maintenance, faults, or events outside our control.
To the extent permitted by applicable law, Aptiun is not liable for indirect or consequential loss, loss of profit, or loss of data caused by misuse or third-party services. Project-specific warranties, service levels, and liability limits are defined in the applicable agreement.
Suspension and termination
Aptiun may suspend or terminate access for a material breach, security risk, unlawful use, or overdue payment, with notice and an opportunity to remedy where appropriate and safe. Provisions that are intended to survive termination remain effective, including intellectual property, confidentiality, payment, and liability provisions.
Privacy and data
Aptiun processes personal data under the Privacy Policy published on this website and the laws applicable in the Kingdom of Saudi Arabia. Where Aptiun processes data for a Client project, the agreement defines the parties’ roles and the relevant security, retention, and deletion requirements.
Governing law and updates
These terms are governed by the laws and regulations of the Kingdom of Saudi Arabia. The parties will first seek an amicable resolution, after which disputes may be referred to the competent authority as provided by the agreement and applicable law.
Aptiun may update these terms when needed. The last-updated date will be shown clearly, and changes take effect when published unless stated otherwise, without altering accrued rights or existing agreements except in accordance with their terms.
